• Need Help provides the marketplace; the selected Helper provides the underlying job service.
• Need Help does not inspect, supervise or professionally vet the underlying job or workmanship.
• Customers and Helpers remain responsible for job suitability, safety, competence and legal requirements.
• Helpers must say whether they are In trade or acting privately, and Customers see that status before payment.
• The Customer/Helper job agreement is confirmed when the selected offer is successfully paid through Need Help.
• Nothing here removes New Zealand rights or liabilities that cannot lawfully be excluded.
1. About these Terms
These Marketplace Terms govern your use of Need Help. Need Help is operated by Colin Odendaal, a New Zealand sole trader trading as Need Help, NZBN 9429052327674, from 9 Titter Place, Springvale, Whanganui 4501, New Zealand.
Need Help provides the marketplace, payment workflow and related platform and support services. The Helper provides the underlying job service to the Customer.
These Terms apply until Need Help publishes an updated version. If a material change is made, you may be asked to review and accept the updated Terms before making new marketplace commitments.
2. Who can use Need Help
Need Help accounts are for people aged 18 or older. You must provide accurate account information and keep your account secure.
One account may be used both to post jobs as a Customer and to offer services as a Helper, subject to the additional Helper setup, marketplace-status and payout requirements.
3. Need Help is the marketplace, not the underlying job supplier
Need Help connects Customers and Helpers. Unless the law requires otherwise, Need Help is not the supplier of the underlying lawn mowing, rubbish removal, cleaning, moving, assembly, delivery or other job service and is not a party performing that work.
The Customer chooses the Helper. The Helper chooses which jobs to offer on, the price they offer, their availability and whether they are legally and practically able to perform the work. Need Help may operate category, identity/account, payment, moderation, marketplace-status and safety controls, but those limited platform controls do not amount to inspection, professional vetting, supervision or endorsement of the underlying job, work site or a person's competence for a particular task.
Using Need Help does not by itself create employment, partnership, joint venture, agency, fiduciary or representative authority between Need Help and a Customer or Helper, or between a Customer and Helper beyond their own underlying job agreement. No user may bind Need Help or represent that they act for Need Help unless Need Help has expressly authorised that in writing. This describes the intended marketplace relationship and does not override any legal relationship that the law determines from the actual facts.
Nothing in these Terms changes Need Help's responsibility for its own marketplace/platform service where the law imposes responsibility.
4. When the Customer/Helper job agreement is formed
A Helper offer does not create a confirmed job by itself. The Customer reviews the offer and the information shown about the Helper.
The selected offer becomes the accepted job agreement between the Customer and Helper when the Customer successfully completes the Need Help payment step and Need Help reconciles that payment to the selected offer, Helper and current job revision.
The accepted job scope, offer, fees, Helper marketplace status and relevant Terms version are retained as transaction history and are not silently rewritten later.
5. Helper trader status and consumer rights
Before making paid offers, every Helper must declare whether they are acting In trade or as a Private Helper. Need Help does not infer this status from GST registration, NZBN, company structure, business name or any single tax field.
A Helper must choose the status that accurately reflects how they provide the relevant services and must update the declaration if their circumstances change. A declaration does not itself decide a person's legal status; the law and the actual circumstances remain relevant.
Need Help shows the Helper's declaration to the Customer before payment and retains the status shown for the accepted transaction.
If a Helper is in trade, New Zealand consumer protections may apply to the underlying service they provide. If a Helper is genuinely acting privately rather than in trade, some statutory consumer protections may not apply to that private service transaction. Other legal rights and remedies may still apply. Nothing in these Terms removes rights that cannot lawfully be excluded.
6. Jobs, offers and lawful work
Customers must describe jobs honestly and provide information reasonably needed for a Helper to understand the requested work, access and timing.
Helpers must only offer on work they are legally competent to perform. Where a licence, registration, permit, insurance or other legal requirement applies, the Helper is responsible for meeting it and the Customer remains responsible for deciding whether the Helper is suitable for the job.
Need Help may restrict categories or conduct that create unacceptable legal, safety or platform risk. Users must not use the marketplace for unlawful, prohibited or materially unsafe work.
7. Fees
Need Help charges marketplace fees to Customers and Helpers. The applicable Customer fee is shown before payment. The Helper fee and expected payout are shown when the Helper prepares an offer.
For new transactions, each side is charged the greater of the configured percentage or minimum fee. The actual amounts are snapshotted for the transaction when the Customer prepares the selected offer.
Need Help may change fees for future transactions after appropriate notice. A later fee change does not rewrite a transaction that has already captured its agreed economics.
8. Customer payment and Helper payout
The Customer pays through Stripe when accepting the selected offer. The exact total is shown before payment is confirmed.
Customer payment does not mean the Helper has already been paid. Helper payout remains a separate state and is not processed until the completion or resolution rules allow Need Help to instruct the payout transfer.
Any outstanding Helper balance owed to Need Help is handled at actual payout under the platform rules and is not repeatedly deducted from individual offers.
The Customer and Helper must not misrepresent payment status or ask the platform to manufacture transaction states that did not occur.
9. Completion, cancellation, refunds and disputes
The Helper completes the work and uses the in-app completion process. The Customer can approve completion or use the available problem/support paths where there is a genuine issue.
Cancellation outcomes and any payment adjustment depend on the transaction state and the applicable controlled resolution flow. Need Help may record cancellation responsibility as Customer, Helper or Both where needed for platform operation, but that operational record is not a legal finding of fault, negligence or workmanship liability.
Refunds, approved additional payments, payout changes and payment-provider dispute handling must use the controlled Need Help/Stripe workflows. Private side arrangements do not rewrite the authoritative platform transaction record.
Support may help with account, payment, privacy, fraud, identity, serious-safety and platform issues. Need Help is not the ordinary adjudicator of workmanship, scope or interpersonal fault between a Customer and Helper.
10. Taxes and records
Helpers are responsible for their own income tax, GST registration and tax obligations arising from their services. A Helper who is GST registered must keep their GST information accurate.
Need Help is responsible for its own platform-fee tax obligations. Need Help does not issue the Helper service tax invoice or taxable-supply information on the Helper's behalf.
The Transaction Pack is marketplace proof-of-transaction information and may include payment, fee, payout or platform records. It does not turn Need Help into the supplier of the underlying Helper service.
11. Messaging and keeping marketplace transactions on-platform
Users must use the permitted Need Help communication and transaction flows for marketplace jobs. Pre-acceptance controls may restrict obvious phone numbers, email addresses or links used to bypass the marketplace.
Users must not intentionally evade marketplace fees or safety controls by moving a Need Help-introduced transaction off-platform before the accepted transaction is completed or legitimately cancelled.
12. Reviews, user-generated content and prohibited conduct
Verified reviews are tied to eligible completed in-app jobs and must reflect genuine experience.
Users remain responsible for job descriptions, messages, profile information, photos, offers, reviews and other content they submit.
You must not use Need Help to create, upload, send, request, promote, arrange or encourage content or conduct that is unlawful, fraudulent, deceptive, threatening, harassing, bullying, hateful or discriminatory; sexually explicit or exploitative; abusive toward children or involving child sexual exploitation; non-consensual intimate content; credible threats or graphic violence; encouragement of self-harm or dangerous conduct; stalking, intimidation, doxxing or disclosure of another person's private information without authority; impersonation or scams; spam, phishing, malware or other malicious activity; infringement of intellectual-property or privacy rights; or goods, services or activities that Need Help prohibits because they are illegal, regulated, unsafe or outside the approved marketplace scope.
Need Help provides in-app reporting and blocking controls. Need Help may review reports and may remove or restrict content, limit marketplace interactions, suspend or close accounts, preserve evidence, or take other proportionate action where reasonably necessary for safety, legal compliance or enforcement of these Terms. Serious matters may be referred to an appropriate authority where required or lawfully appropriate.
Reporting or blocking a user does not by itself cancel a job, refund a payment, change a payout or rewrite transaction history.
Need Help may change or expand prohibited-content rules where reasonably necessary to meet law, safety requirements or platform-store policies. Material changes will be handled through the Marketplace Terms version and acceptance process.
13. Safety, support and account restrictions
Customers and Helpers remain responsible for real-world safety decisions connected with a job. Need Help does not inspect, control or supervise the work site or the way a Helper performs the work. Users must assess site hazards, access, animals, equipment, physical capability, legal restrictions and other job-specific risks themselves and stop or refuse work they reasonably consider unsafe or unlawful.
Need Help may restrict, suspend or close marketplace access where reasonably necessary for fraud prevention, safety, legal compliance, unresolved payment obligations, serious or repeated breach of these Terms, or protection of the platform and its users.
Existing lawful payment, deletion, record-retention and investigation obligations may continue after marketplace access is restricted.
14. Privacy and account deletion
Need Help handles personal information under its Privacy statement. The public Privacy and account-deletion resources explain the categories of information used, provider processing, deletion process and records that may be retained for lawful purposes.
Deleting an account does not erase immutable payment, transaction, support, safety or compliance records where Need Help still has a lawful reason or statutory obligation to retain them.
A deletion request can withdraw pending Helper offers and close related pre-transaction conversations. Cancelling a deletion request does not restore those withdrawn offers or conversations. If deletion is blocked by an active job, unresolved money, payout, dispute or legitimate support, safety or legal reason, clearing that blocker does not automatically delete the account; the user must return and choose the final deletion action.
15. Google Maps features and content
Need Help includes Google Maps features and content for address search and verification.
Your use of Google Maps features and content in Need Help is subject to the then-current Google Maps End User Additional Terms of Service and Google Privacy Policy.
If you do not comply with those Google terms, Need Help may restrict or suspend your access to Google Maps features in Need Help where reasonably necessary.

16. Liability, risk allocation, indemnity and consumer law
Need Help is a marketplace and platform service. It does not guarantee the quality, safety, legality, accuracy, timing, completeness, price, fitness, workmanship or outcome of any underlying job or any Customer or Helper conduct. Need Help does not become the underlying job supplier merely because it provides marketplace, messaging, support, payment or payout tools.
Except for the limited platform, account, payment and status checks expressly described in Need Help, Need Help does not independently inspect a job or work site, supervise the work, verify the accuracy or safety of a job description, or warrant a Helper's skills, qualifications, licences, registrations, insurance, equipment, identity beyond the stated checks, or suitability for a particular job. Any platform status, verification step, review, badge, payment setup or marketplace declaration is not an endorsement or guarantee of a person, job or outcome.
Customers and Helpers use the marketplace and enter into underlying job arrangements at their own real-world risk. Customers are responsible for deciding whether a Helper is suitable, whether any licence, insurance or qualification should be checked, whether the site and requested work are safe and lawful, and whether property, access, animals, equipment or hazards require special precautions. Helpers are responsible for deciding whether they are competent, properly equipped and legally permitted to perform a job, for carrying out the work safely and lawfully, and for damage, injury, loss or other consequences caused by their own acts or omissions.
To the maximum extent permitted by law, Need Help and its operator, employees, contractors and agents are not liable for injury, death, property damage, theft, defective or incomplete workmanship, delay, non-performance, misconduct, loss, dispute or other harm arising from or connected with the underlying job, job site, Customer, Helper or other third party, except to the extent the loss is caused by Need Help's own breach of these Terms, negligence, wilful misconduct or other liability that cannot lawfully be excluded or limited.
To the maximum extent permitted by law, Need Help is not liable for indirect, consequential, special or purely economic loss arising from a Customer/Helper job or another user's conduct, including lost profit, lost opportunity, loss of goodwill or business interruption, where that loss was not caused by Need Help's own breach or other liability that cannot lawfully be excluded.
Each user indemnifies and holds harmless Need Help and its operator, employees, contractors and agents from third-party claims, liabilities, losses, damages, penalties and reasonable legal or recovery costs arising from that user's breach of these Terms; unlawful, unsafe, fraudulent or negligent act or omission; underlying job, work, property, equipment, content or instructions; infringement of another person's rights; or failure to meet a tax, licensing, registration, insurance or other legal obligation. This indemnity does not apply to the extent a claim or loss is caused by Need Help's own breach, negligence, wilful misconduct or any liability that cannot lawfully be excluded.
Nothing in this section excludes, restricts or modifies any right, guarantee, remedy or liability that cannot lawfully be excluded or limited under New Zealand law, including applicable rights under the Consumer Guarantees Act 1993 and Fair Trading Act 1986. Need Help remains responsible for its own marketplace/platform service to the extent required by law.
Any discretion given to Need Help under these Terms is intended to be exercised reasonably for the stated platform, safety, legal or operational purpose.
If Need Help materially changes these Terms, a new Terms version can be published and users may be required to review and accept that version before making new marketplace commitments. Historical transactions keep the Terms and status snapshot recorded when they were accepted.
